1) Terms and Conditions Overview 

These Terms and Conditions (“Terms”) describe the terms on which Sky5G (Vanuatu) (“Sky5G”, “we”, “us”) provides you (the “Subscriber”, “you”) with broadband Internet access and associated service(s) (the “Services”). By using any Service or signing any agreement with Sky5G (the “Agreement”), you agree to these Terms. We may refuse applications at our discretion. You must not transfer your rights or obligations under this Agreement without our consent. We may assign any of our rights or obligations by notice to you.   

The Agreement is governed by the laws of the Republic of Vanuatu. 

2) Service Provision 

2.1 Availability. Services are available where our network coverage and infrastructure permit. Service availability advice may change after initial confirmation; if the Service is ultimately unavailable at your premises, we will notify you. We do not warrant that the Service will be fault-free or uninterrupted, but we will take reasonable steps to restore Services as soon as possible.   

2.2 Instructions. You agree to follow reasonable instructions we provide for efficient use of the Service (e.g., configuration or network use guidance).   

2.3 Working Hours. Unless otherwise stated, standard working hours for on-site work are 08:00–17:00 Monday–Friday, excluding weekends and public holidays; after-hours work may attract additional charges.   

3) Customer Equipment & Installations 

3.1 Type Approval. All equipment used to connect to the Service must be TRR type-approved and used/connected in accordance with applicable law and technical requirements.   

3.2 Our Equipment. Any equipment we supply or install (including software) remains our property unless explicitly sold to you. You must keep it in good working order (fair wear and tear excepted), not tamper with it, and return it on request or at the end of the Agreement. You are liable for loss or damage.   

3.3 Performance. Actual speeds/throughput may vary based on radio conditions, signal strength, congestion, and other factors. 

3.4 Additional Links. If you request extra links or distribution from your site to other locations, a separate written consent and charges may apply. 

4) Your Responsibilities 

4.1 Lawful Use & Payment. You are responsible for lawful use and for paying all charges by the due date. You are responsible for all use of the Service, including use by third parties.   

4.2 Numbers/Identifiers. Any numbers or identifiers allocated to you are not your property, cannot be sold or assigned, and may be changed with notice if required by law or technical reasons.   

4.3 Indemnity. You indemnify us against claims brought by third parties arising from misuse or breach of these Terms by you or anyone using your Service.   

5) Acceptable Use 

You must not use the Service to send offensive, indecent, menacing, nuisance or hoax communications, or to engage in fraudulent or unlawful activity under Vanuatu law. We may suspend or terminate the Service for policy or legal breaches. 

6) Plans, Shaping & Download Limits 

6.1 Plans. Your plan includes a monthly data allowance and/or speed profile as advertised. 

6.2 Shaping (if applicable). On selected plans we may reduce speed once you reach your monthly data allowance. “Unlimited” plans may still be subject to fair usage to protect the network for all users. 

6.3 Fair/Acceptable Use. Excessive, disproportionate, or disruptive usage may lead to shaping, plan migration, or other reasonable measures. We will make reasonable efforts to notify you of any change and allow you to cancel without penalty if a change is materially detrimental to you. 

7) Billing & Payment 

7.1 Currency. Charges are in Vanuatu vatu (VUV) unless stated otherwise. 

7.2 What you pay. You agree to pay installation/activation fees, monthly service fees (in advance), usage or overage fees (if your plan includes them), equipment fees, and any other agreed charges. You are billed from activation.   

7.3 Due date. Payment is due on the date shown on your invoice. If unpaid after the due date, we may apply a surcharge/late fee and may suspend or disconnect the Service until paid.   

7.4 Credit controls. We may set a credit limit, request a deposit/security, or require payment in advance where reasonably needed for credit/risk management.   

7.5 Disputes. If you dispute a charge, please notify us in writing with details within 14 days of the bill date. Disputes do not suspend your obligation to pay undisputed amounts.   

7.6 No refunds for non-use. If you stop using the Service (where the Service is available), normal charges still apply unless we agree otherwise or the law requires a refund.   

8) Contract Term & Early Termination 

8.1 Term. Services may be month-to-month or fixed-term (e.g., 12 or 24 months). If you terminate during a fixed term, early termination fees (typically the remaining value of the term and/or equipment recovery fees) may apply. 

8.2 Your termination. You may terminate with at least 30 days’ written notice (email or letter). For fixed-term plans, early termination fees may apply. 

8.3 Our suspension/termination. We may suspend or terminate with notice for persistent non-payment or material breach, or immediately without notice to prevent fraud, comply with law, or for force majeure.   

8.4 Effects. On termination: (i) stop using the Service; (ii) all sums due become immediately payable; (iii) return our equipment or allow collection; we may charge reasonable compensation if equipment is not recovered in good condition.   

9) Service Levels & Support 

9.1 Restoration. While we aim for reliable service, outages can occur. We will take reasonable steps to restore the Service promptly.   

9.2 Support scope. We’ll assist with connectivity to our network. LAN/WLAN, routers/switches, and end-device configuration are your responsibility (we can offer paid assistance on request). 

9.3 No-fault found. If you report a fault and we find no network fault (e.g., the issue is with your equipment/premises), we may charge a reasonable call-out or diagnostic fee. 

10) Limitations of Liability 

10.1 No special damages. To the extent permitted by law, we’re not liable for indirect, incidental, special, or consequential loss (e.g., lost profits, business interruption).   

10.2 Service interruptions. We’re not liable for temporary disruptions, restrictions, or unavailability resulting from technical failures or force majeure.   

10.3 Maximum liability. Where liability cannot be excluded, our liability is limited (at our option) to re-supplying the Service or paying the cost of having the Service re-supplied, or to the amount you paid for the affected Service period, as required by law. 

11) Force Majeure 

Neither party is liable for failure or delay due to events beyond reasonable control (including Acts of God, cyclone, fire, lightning, explosion, war, disorder, flood, industrial disputes, severe weather, or acts of government/authorities). 

12) Privacy & Data 

We handle personal information in accordance with applicable Vanuatu privacy and telecommunications laws. We use your information to deliver Services, manage accounts, and comply with legal obligations (including lawful requests by authorities). We take reasonable measures to prevent unauthorised access and you may request access/correction to your data. You may opt-out of non-essential communications. 

13) Notices & Contact 

We will send notices to your nominated email or postal address. You must keep your contact details up to date. Notices are deemed received when sent to your last notified address.

14) Amendments 

We may amend these Terms by giving reasonable notice (e.g., email, website, SMS). If a change is likely to have a material detrimental impact on you, we will make reasonable efforts to contact you and allow you to terminate without penalty if you do not accept the change. 

15) Severability; Entire Agreement 

If any provision is unlawful, void, or unenforceable, the remainder stays in effect. These Terms (and any Specific Service Terms/Order Forms) form the entire agreement between you and Sky5G for the Services.Â
